Permissible Companies Act of 2023

Joseon Permissible Companies Act of 2023

By the grace of God and the goodwill of the people of Joseon and the King, let it be enacted as follows:

 

  1. Preamble
    1. This Act is established to define the types of companies permissible within the jurisdiction of Joseon, ensuring a free, innovative, and prosperous business environment while maintaining restrictions on activities universally agreed to be harmful.
  2. General Provisions
    1. All companies formed and registered in Joseon shall be legal and permissible, provided they adhere to the provisions laid out in this Act and the applicable regulations.
    2. Companies operating within the jurisdiction of Joseon shall be allowed to engage in activities related to advanced technologies, including but not limited to artificial intelligence, blockchain, cryptocurrency, and encryption, provided that such activities are lawful and do not infringe upon the rights of others.
  3. Permitted Activities
    1. Companies in Joseon are permitted to engage in any lawful internet business activities, including but not limited to:
      1. Information technology services and development;
      2. E-commerce and online marketplaces;
      3. Financial technology and digital asset management;
      4. Research and development in various fields;
      5. Telecommunications and internet services;
      6. Media and entertainment;
      7. Manufacturing and production;
      8. Education and training;
      9. Health and medical services;
      10. Energy and resources;
      11. Transportation and logistics;
      12. Tourism and hospitality.
    2. Companies in Joseon shall be allowed to engage in activities that promote free speech, expression, and innovation, in compliance with applicable laws and regulations, such as:
      1. Online platforms that enable user-generated content, protected under provisions similar to Section 230 of the United States Communications Decency Act;
      2. Services that provide encryption and privacy tools for individuals and businesses;
      3. Platforms for the exchange of ideas and opinions, without undue censorship or restrictions.
  4. Prohibited Activities
    1. Companies in Joseon shall be strictly prohibited from engaging in activities that involve:
      1. The production, distribution, or promotion of child pornography or any material that sexually exploits minors;
      2. The support, facilitation, or promotion of terrorism or violent extremism in any form;
      3. Human trafficking, forced labor, or any form of modern-day slavery;
      4. The illegal trade of weapons, drugs, or other harmful substances;
      5. Any activities that violate international laws, treaties, or agreements to which Joseon is a party.
  5. Enforcement and Penalties
    1. Companies found to be engaged in prohibited activities, as defined in this Act, shall be subject to investigation, prosecution, and penalties under the laws of Joseon.
    2. Penalties for violating the provisions of this Act may include, but are not limited to, fines, suspension or revocation of business licenses, and criminal charges against company owners, directors, or officers, as appropriate under Joseon laws and regulations.
  6. Amendments
    1. This Act may be amended by the Council of Dignitaries, Elders, and Revisionists (CODERS) in accordance with the established legislative processes, and with the approval of the King.
    2. This Act shall come into force on the date of its enactment and shall apply to all activities related to permissible companies within the jurisdiction of Joseon from that date forward.

 


Security and Exchange Control Act of 2023

Joseon Security and Exchange Control Act of 2023

By the grace of God and the goodwill of the people of Joseon and the King, who has given his consent, let it be enacted as follows:

 

  1. General Provisions
    1. This Act shall establish the Joseon Security and Exchange Commission (SEC) to oversee the regulation and supervision of securities and exchanges within the jurisdiction of Joseon.
    2. The SEC shall be committed to promoting a competitive, transparent, and efficient securities market in Joseon, while ensuring investor protection and safeguarding the integrity of the market.
    3. The SEC shall operate under the principles of minimal regulation, market-driven policies, and technology neutrality, fostering an environment that encourages innovation, growth, and economic development.
  2. Securities
    1. The issuance and registration of securities in Joseon shall be overseen by the Ministry of Commerce, in accordance with the Companies Act of 2023.
    2. All securities in Joseon are represented as tokens on the Joseon Blockchain.
    3. The SEC shall apply a risk-based approach to the regulation of securities, with consideration given to the unique characteristics and potential benefits of blockchain-based tokens.
  3. Exchanges
    1. The SEC shall oversee the registration, operation, and supervision of securities exchanges within the jurisdiction of Joseon.
    2. Exchanges shall be required to register with the SEC and comply with operational, reporting, and anti-money laundering (AML) requirements as determined by the SEC.
    3. Exchanges shall be permitted to list and trade a wide range of blockchain-based tokens, subject to the approval of the SEC.
    4. The SEC shall encourage competition and innovation among exchanges, with the aim of promoting market efficiency and liquidity.
  4. Investor Protection
    1. The SEC shall implement measures to protect investors and maintain public confidence in the securities market.
    2. The SEC shall establish guidelines for the disclosure of material information by issuers, exchanges, and other market participants, with the aim of promoting transparency and reducing information asymmetry.
    3. The SEC shall monitor and enforce compliance with securities laws and regulations, and shall have the authority to impose sanctions and penalties for non-compliance.
    4. The SEC shall cooperate with other domestic and international regulatory authorities to combat cross-border market manipulation, insider trading, and other forms of market abuse.
  5. Regulatory Framework
    1. The SEC shall periodically review and update the regulatory framework for securities and exchanges in Joseon, in response to technological advancements, market developments, and emerging risks and opportunities.
    2. The SEC shall engage with industry stakeholders, including issuers, exchanges, investors, and technology providers, to ensure that the regulatory framework remains relevant, effective, and supportive of innovation and growth.
  6. Amendments
    1. This Act may be amended by the Council of Dignitaries, Elders, and Revisionists (CODERS) in accordance with the established legislative processes, and with the approval of the King.
    2. This Act shall come into force on the date of its enactment and shall apply to all activities related to securities and exchanges within the jurisdiction of Joseon from that date forward.


Treasury Act of 2023

Joseon Treasury Act of 2023

By the grace of God and the goodwill of the people of Joseon and the King, let it be enacted as follows:

 

  1. General Provisions
    1. This Act establishes the Joseon Treasury ("Treasury") under the authority of the Ministry of Finance.
    2. The Treasury is responsible for managing the financial resources and monetary policy of Joseon to ensure the stability and prosperity of the nation.
  2. Governance and Structure
    1. The Treasury shall be governed by a Decentralized Autonomous Organization (DAO), which is a smart contract on the Joseon Blockchain.
    2. The Treasury DAO shall consist of four members: the King of Joseon, the Minister of Finance, the Minister of Technology, and one other Minister appointed by the King.
    3. The King of Joseon shall hold 51% of the voting power in the Treasury DAO, while the remaining voting power shall be divided evenly among the other three members.
    4. Decisions made by the Treasury DAO shall be based on a majority vote.
  3. Functions and Responsibilities
    1. The Treasury is responsible for formulating and implementing monetary policy in accordance with the economic goals of Joseon, which may include managing inflation, promoting economic growth, and maintaining financial stability.
    2. The Treasury shall manage the issuance, circulation, and regulation of the national fiat currency, Mun, as well as any other forms of currency as authorized by law.
    3. The Treasury is responsible for managing the fiscal policy of Joseon, which includes collecting taxes, controlling public expenditure, and managing government debt.
    4. The Treasury shall oversee the management of the nation's foreign exchange reserves and ensure the stability of the Mun in international markets.
    5. The Treasury is responsible for regulating and supervising the financial sector in Joseon, in coordination with other relevant government agencies and regulatory bodies.
    6. The Treasury shall maintain a transparent and accountable financial management system, ensuring that public funds are used efficiently and responsibly.
  4. Reporting and Accountability
    1. The Treasury shall periodically publish reports on its activities, financial position, and economic outlook for Joseon, in order to promote transparency and public confidence in the nation's financial system.
    2. The Treasury shall be subject to regular audits and oversight by an independent auditor appointed by the King, in order to ensure the integrity and effectiveness of its operations.
    3. The Treasury shall cooperate with other domestic and international authorities, as necessary, to promote the stability and integrity of the global financial system.
  5. Amendments
    1. This Act may be amended by the Council of Dignitaries, Elders, and Revisionists (CODERS) in accordance with the established legislative processes, and with the approval of the King.
    2. This Act shall come into force on the date of its enactment and shall apply to all activities related to the management of Joseon's financial resources and monetary policy from that date forward.

 


Blockchain and Currency Act of 2023

Joseon Blockchain and Currency Act of 2023

By the grace of God and the goodwill of the people of Joseon and the King, who has given his consent, let it be enacted as follows:

 

  1. General Provisions
    1. The Ministry of Technology shall launch a blockchain in accordance with this Act in Joseon.
    2. The blockchain shall be called the Joseon Blockchain (“Blockchain”).
    3. The Blockchain will be used for various government functions, including but not limited to the issuance of currency, voting, domiciled business functionality, identity verification, and other related applications.
  2. Currency
    1. The Blockchain will introduce Joseon’s fiat currency called Mun.
    2. Mun shall be the official currency of Joseon, and shall be utilized for all government transactions, as well as public and private transactions within the jurisdiction of Joseon.
    3. The value of Mun shall be determined by market forces and may be exchanged for other currencies at prevailing exchange rates.
    4. The Ministry of Finance shall be responsible for the regulation, issuance, and circulation of Mun, as well as the establishment of monetary policies in accordance with the economic objectives of Joseon.
    5. The Blockchain shall provide transparency and security for all transactions involving Mun, ensuring a high level of trust and reliability in the currency.
  3. Smart Contracts
    1. Smart contracts are self-executing contracts with the terms of the agreement between parties being directly written into code.
    2. The Blockchain shall support the creation, execution, and enforcement of smart contracts, enabling a wide range of applications and use cases, including but not limited to financial services, supply chain management, and government services.
    3. The Ministry of Technology shall establish standards, guidelines, and best practices for the development, deployment, and operation of smart contracts on the Blockchain, with the aim of ensuring their security, reliability, and interoperability.
    4. The use of smart contracts within the jurisdiction of Joseon shall be subject to the laws and regulations of Joseon, as well as any applicable international agreements and treaties.
  4. Digital Identity and Privacy
    1. The Blockchain shall support the creation and management of digital identities for denizens of Joseon, enabling a secure and efficient means of identity verification for various government and private sector services.
    2. The Ministry of Technology, in collaboration with other relevant government agencies, shall develop a comprehensive framework for digital identity management, ensuring the protection of personal data and privacy while facilitating the delivery of essential services to denizens.
    3. The use of digital identities on the Blockchain shall be subject to the laws and regulations of Joseon, as well as any applicable international agreements and treaties.
  5. Regulatory Framework
    1. The Ministry of Technology, in collaboration with other relevant government agencies, shall establish a regulatory framework for the development, deployment, and operation of the Blockchain and its associated technologies, with the aim of fostering innovation, promoting economic growth, and ensuring the security and stability of the Joseon digital ecosystem.
    2. The regulatory framework shall be based on the principles of technology neutrality, proportionality, and risk-based regulation, with due consideration given to the unique characteristics and potential benefits of the Blockchain and its associated technologies.
    3. The Ministry of Technology shall periodically review and update the regulatory framework as necessary, in response to technological advancements, market developments, and emerging risks and opportunities.
  6. Amendments
    1. This Act may be amended by the Council of Dignitaries, Elders, and Revisionists (CODERS) in accordance with the established legislative processes, and with the approval of the King.
    2. This Act shall come into force on the date of its enactment and shall apply to all activities related to the Blockchain and its associated technologies within the jurisdiction of Joseon from that date forward.

Joseon Company Act of 2023

Joseon Companies Act of 2023

By the grace of God and the goodwill of the people of Joseon and the King, let it be enacted as follows:

 

  1. General Provisions
    1. Pursuant to this Act, a corporate entity ("Company") may be established and registered within the jurisdiction of Joseon, with the purpose of constituting a holding Company or an Internet Company, which may possess either full or partial ownership of its subsidiary companies, as further delineated herein.
    2. A holding Company is defined as a Company that wholly or partially owns the shares of its subsidiary companies, while an Internet Company refers to a Company that operates and conducts its activities exclusively within cyberspace.
    3. All Companies registered under the jurisdiction of Joseon shall be deemed as public limited liability companies.
    4. Companies operating within Joseon must adhere to the regulations and provisions set forth in this Act, as well as any subsequent amendments or revisions enacted by the Joseon Government.
  2. Formation and Registration
    1. The party or parties seeking to form and register a Company within Joseon shall submit Articles of Incorporation, which must minimally include the Company's name and the number of authorized shares, represented as tokens on the Joseon Blockchain with the Company's short-name as the token's listed name. Upon approval, the Company shall be granted the status of a corporate entity within Joseon.
    2. Companies registered in Joseon must maintain compliance with the provisions of this Act, as well as any other applicable laws and regulations enacted by the Joseon Government.
    3. All legal holders of shares ("Shareholders") must be denizens of Joseon.
    4. Registration and registry updates are subject to fees as determined by the Ministry of Commerce on an annual basis. Company registrations shall remain valid for one year following initial registration, with mandatory renewal on each yearly anniversary thereafter.
  3. Corporate Governance and Operations
    1. Companies established under this Act shall be governed by their respective Bylaws, which must be unanimously agreed upon by all Shareholders.
    2. Companies shall be required to maintain accurate records and documentation of their activities, in compliance with the provisions of this Act and any other applicable laws and regulations.
    3. The Ministry of Commerce shall be responsible for the enforcement of this Act and shall have the authority to impose penalties for non-compliance as prescribed by law.
    4. Companies found in violation of this Act may be subject to fines, suspension or revocation of their registration, or other penalties as determined by the Ministry of Commerce.
    5. Shareholders, officers, or directors of a Company who knowingly and willfully violate the provisions of this Act may be held personally liable for any damages or losses resulting from such violations, in addition to any penalties imposed upon the Company.
  4. Amendments and Revisions
    1. This Act may be amended, revised, or repealed by the enactment of subsequent legislation by the Joseon Government.
    2. All amendments or revisions to this Act shall be published and made available to the public in a timely manner to ensure compliance by Companies operating within Joseon.
  5. Jurisdiction and Governing Law
    1. This Act and any disputes arising therefrom shall be governed by and construed in accordance with the laws of Joseon.
    2. Any disputes or claims arising out of or in connection with this Act, or the formation, existence, construction, performance, validity, or termination of a Company, shall be subject to the exclusive jurisdiction of the courts of Joseon.
  6. Amendments
    1. This Act may be amended by the Council of Dignitaries, Elders, and Revisionists (CODERS) in accordance with the established legislative processes, and with the approval of the King.
    2. This Act shall come into force on the date of its enactment and shall apply to all Companies operating within Joseon from that date forward.
